We provide managed media, technology, and advisory services described in statements of work (“SOWs”). If an SOW conflicts with these terms, the SOW prevails for that engagement. All services are educational and operational in nature; no financial or marketing guarantees are provided.

• Provide accurate inputs, approvals, and access credentials in a timely manner.
• Ensure supplied assets and instructions comply with applicable laws and third-party rights.
• Designate reviewers for regulated topics or jurisdictions.
• Secure any shared accounts and notify us of suspected misuse.

Fees and milestones are set out in the SOW. Late payments may pause delivery. Either party may terminate with written notice if the other materially breaches the terms and fails to cure within 30 days. On termination, amounts due for completed work become immediately payable.

Pre-existing materials, platform components, and methodologies remain our property. Upon full payment, clients receive a worldwide licence to use bespoke deliverables created for them. Clients remain responsible for the truthfulness and compliance of any content they publish.

Both parties must protect confidential information and use it solely for the engagement. Personal data is handled under our Privacy Policy and UK GDPR obligations.

Services are provided “as is” without warranties beyond those required by law. Our total liability for direct damages is limited to the fees paid in the preceding three months. Neither party is liable for indirect or consequential losses.

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to mandatory consumer protections where relevant.
